These Terms and Conditions (“Terms”) govern your access to and use of the websites, applications, and services provided by Maven Pay Inc. (“MavenPay”, “we”, “us”, “our”), including www.mavenpay.com and related channels (collectively, the “Platform” or “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you disagree, do not use the Services.

 

1. Acceptance of Terms

These Terms form a binding agreement between you and MavenPay. Supplemental terms (e.g., product-specific or click-through terms) may apply and will supplement these Terms for the relevant feature. We may update these Terms periodically by posting a revised version with a new “Last updated” date. Continued use after updates constitutes acceptance.

 

2. Privacy & Data Protection

By using the Services, you agree to our Privacy Policy, which explains how we collect, use, store, and disclose information. MavenPay complies with PIPEDA (Canada’s Personal Information Protection and Electronic Documents Act) and, where applicable, Quebec Law 25. The Privacy Policy describes cross-border data transfers, retention, access/correction rights, and how to reach our Privacy Officer.

 

3. Other Agreements

Some features may have separate or supplemental terms. If you accept such terms (for example, by clicking “I agree”), they apply in addition to these Terms and govern in case of direct conflict.

 

4. About the Services

4.1 Scope

MavenPay operates a proprietary digital financial platform connecting users to cross-border payment and related services through licensed third-party financial institutions (“Partner Institutions”). Offerings include international transfers, currency conversion, multi-currency accounts, virtual/physical cards (issued by partners), bill payments, and premium travel services via affiliated entities such as Maven Pay Concierge Private Limited (Singapore).

4.2 Licensing & Regulatory Status (Canada)
  • FINTRAC MSB: Maven Pay Inc. is registered as a Money Services Business (MSB) under Canada’s Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) with registration number C1000000640, supervised by FINTRAC.
  • RPAA: Maven Pay Inc. has submitted an application under the Retail Payments Activities Act (RPAA) administered by the Bank of Canada, which is currently under review.
  • Custody & Role: Funds movement, custody, and settlement are performed by licensed Partner Institutions. MavenPay operates as a financial technology platform and does not act as a bank or trust company.
4.3 Modifications & Limitations

We may modify, suspend, or discontinue features or services as required by law, regulation, or business need. Notice will be provided when practicable.

4.4 Third-Party Terms

Some features rely on Partner Institutions or service providers. Their separate terms and privacy policies may apply, and you should review them.

4.5 Prohibited Use

You must not use the Services for unlawful purposes or to violate sanctions, export controls, or our Country Acceptance Policy. Prohibited uses include money laundering, unlicensed securities, illegal gambling, or actions harming our systems or reputation.

 

5. Eligibility & Responsibilities

 
5.1 Geographic Eligibility

Services are available only where legally permitted. Use is prohibited in countries restricted by our Country Acceptance Policy.

5.2 Legal Capacity

By using the Services, you confirm you have the legal capacity to enter binding agreements in your jurisdiction and are not prohibited by law from using the Services.

5.3 Compliance Obligations

You agree to:

(a) follow all applicable AML/CTF, tax, and financial laws;

(b) provide accurate, updated information;

(c) cooperate with required verification or due diligence requests; and

(d) avoid evading jurisdictional or product restrictions.

5.4 Sanctions & Export Controls

You must comply with all sanctions laws, including Canada’s Special Economic Measures Act, United Nations Act, and the Consolidated Canadian Sanctions List, as well as any relevant U.S. OFAC, EU, or UK measures.

5.5 Consequences

We may suspend or terminate access, report suspicious activity, or take legal action for violations. You remain responsible for obligations incurred prior to termination.

 

6. Accounts & Security

  • You must create an account to use certain Services. Accounts are non-transferable.
  • You are responsible for safeguarding login credentials, 2FA, and device access. Notify us at contact-us@mavenpay.com immediately if you suspect unauthorized access.
  • We may verify identity, monitor transactions, and restrict accounts as needed for compliance or partner requirements.
  • Accounts may be terminated for breaches, inactivity (12 months), or regulatory requests. We retain data as required by law

7. Fees & Payments

  • Fees depend on product tier, volume, corridor, and FX rate; the current schedule appears in the app or website.
  • Fees may change with 30 days’ notice, and continued use means acceptance.
  • You authorize MavenPay to charge your selected payment method on a per-transaction or periodic basis, as applicable. If payment cannot be processed or is declined, MavenPay may suspend or restrict access to the affected Services until full payment is received. No interest or late-payment fees will be charged. Continued non-payment may result in permanent account closure.
  • Currency conversion uses Partner Institution rates disclosed at the time of transaction.
  • Disputes & Error Resolution:
    • For billing concerns, contact us within 14 days.
    • For transfer or execution errors, we investigate within two business days and, if confirmed, refund applicable fees or amounts as required by law or partner policy.

8. Intellectual Property

  • All platform content, trademarks, code, and materials are the property of MavenPay or its licensors.
  • You receive a limited, non-transferable, revocable licence to use the Services for personal or internal business purposes.
  • You may not reverse engineer, copy, or modify the Platform or remove proprietary notices.
  • If you submit content or feedback, you grant us a licence to use it to operate and improve the Services.
  • MavenPay follows the Copyright Act (Canada) Notice-and-Notice procedure. Rights holders may send valid notices to contact-us@mavenpay.com.
  • Where hosting is located outside Canada, additional foreign procedures (such as DMCA) may apply.

9. Third-Party Links

External links are provided for convenience. MavenPay is not responsible for their content or data practices.

 

10. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent allowed by law, we disclaim all warranties, express or implied, including fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted or error-free service.

 

11. Limitation of Liability

To the fullest extent permitted by law, MavenPay and its officers, directors, employees, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages or loss of profits, data, or goodwill.

Our total liability in any 12-month period will not exceed the greater of CAD $100 or the fees you paid to us during that period.

This limitation does not apply to fraud, willful misconduct, or gross negligence where such limitation would be unenforceable.

 

12. Indemnity

You agree to indemnify and hold harmless MavenPay and its affiliates from third-party claims, damages, or costs arising from your unlawful use of the Services or breach of these Terms, except where caused by MavenPay’s own negligence or misconduct.

 

13. Electronic Communications & E-Signatures

You consent to receive agreements, disclosures, and receipts electronically, and to use electronic signatures for all transactions. Withdrawal of consent may limit your ability to use the Services.

 

14. Complaints & Escalation

For questions or complaints, contact contact-us@mavenpay.com. We aim to acknowledge within 2 business days and respond within 10 business days. If your complaint concerns a Partner Institution product, we will direct or escalate it to the appropriate entity or ombudsperson.

 

15. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and applicable laws of Canada. Any disputes will be resolved exclusively in the courts of Ontario, Ontario. Nothing prevents either party from seeking injunctive or equitable relief in a competent court.

 

16. Changes to Services & Terms

We may change or discontinue features at any time. Material changes to these Terms will include an updated “Last updated” date and, when required, additional notice.

 

17. Miscellaneous

These Terms (and incorporated policies) are the entire agreement between you and MavenPay. If any provision is invalid, the rest remains enforceable. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign to affiliates or successors. Sections that should survive termination (fees, IP, liability, indemnity, privacy, and governing law) shall do so.
